1. Legal identification and scope

1.1. Garagii.rent (the "Platform") is owned, operated and maintained by Garagii Automotive Solutions L.L.C., a limited liability company registered with the Dubai Department of Economy and Tourism (DET), United Arab Emirates, trade licence no. 1642896 ("Garagii", "we", "us", "our").

1.2. Garagii is a software and technology provider. Garagii is not a vehicle rental company, fleet owner, vehicle lessor, transport broker or insurance provider.

1.3. These Terms and Conditions ("Terms") govern access to and use of the Platform by registered business entities ("Tenants", "Agencies" or "Clients") and their authorised users. By registering an account or accessing Garagii.rent you confirm that you have the legal authority to bind your organisation to these Terms under the laws of the United Arab Emirates.

2. Nature of the Platform and disclaimer of vehicle transactions

2.1. SaaS provider role. Garagii provides cloud-based software-as-a-service tools for car-rental fleet operations, including bookings and rental agreements, digital yard inspections, invoicing, traffic-fine and toll allocation, customer management, and business-to-business sub-leasing between rental agencies.

2.2. B2B sub-leasing and inter-agency transactions.

• Any sub-lease, fleet transfer or vehicle hire arrangement established between two rental agencies using Garagii.rent, including any Local Purchase Order (LPO) generated on the Platform, is a direct and independent legal contract between those agencies.
• Garagii is not a party to, nor an agent, broker or guarantor of, any inter-agency agreement.
• Garagii disclaims all liability for payment defaults, unpaid rental fees, disputes over the allocation of traffic fines or Salik tolls, vehicle damage, theft, or failure to return vehicles arranged between agencies on the Platform. Settlement between agencies takes place outside the Platform.

2.3. Accuracy of inspection and fleet data. Tenants are solely responsible for verifying the physical condition, odometer readings, registration validity (RTA), insurance cover and yard-inspection records entered into the Platform. Garagii does not inspect vehicles or verify physical inventory.

2.4. Electronic signatures. Where a Tenant uses the Platform to send rental agreements to its customers for electronic signature, the Tenant remains the party to that agreement and is responsible for verifying the customer's identity and for the enforceability of the agreement under applicable law.

3. Account registration and licence compliance

3.1. To access Garagii.rent, a Tenant must be a legally registered business in the UAE holding a valid DET (or relevant free-zone) commercial licence authorising vehicle rental or transport activities.

3.2. Tenants agree to supply true, accurate and current business documentation, including the UAE trade licence, the manager's Emirates ID and, where registered, the tax registration certificate, on onboarding and at renewal. The Platform may restrict the issuing of documents against an expired licence.

3.3. Security. Tenants are responsible for keeping account credentials confidential. Sharing credentials outside authorised personnel, or deploying automated scraping or unauthorised access tools against the Platform, is prohibited and may constitute an offence under UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

4. Fees, billing and taxes

4.1. Access to Garagii.rent is provided on a subscription basis, per vehicle, or on such other basis as set out in the commercial agreement with the Tenant.

4.2. All fees are quoted in United Arab Emirates dirhams (AED) and exclude Value Added Tax and any other applicable government taxes. VAT is added at the statutory rate (currently 5%) in accordance with UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax.

4.3. Subscription fees are non-refundable once invoiced, except where a refund is required by applicable UAE law.

5. Service availability and limitation of liability

5.1. The Platform is provided on an "as is" and "as available" basis. While we follow commercial best practice for uptime and data security, we do not warrant uninterrupted or error-free access.

5.2. Garagii may carry out scheduled maintenance and will give advance notice where reasonably practicable.

5.3. Limitation of liability. To the maximum extent permitted by UAE law:

• Garagii, its directors, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of revenue from fleet downtime, loss of data, or regulatory fines incurred by Tenants.
• Garagii's total aggregate liability arising out of or in connection with the use of Garagii.rent is limited to the total fees paid by the Tenant to Garagii in the six (6) calendar months immediately preceding the event giving rise to the claim.

6. Indemnification

Tenants agree to defend, indemnify and hold harmless Garagii Automotive Solutions L.L.C., its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, losses or expenses (including legal fees) arising out of:

• the Tenant's breach of these Terms or of UAE law;
• misrepresentation of vehicle condition, fleet availability or customer identity data;
• disputes between the Tenant and its end-customers, insurers, traffic or police authorities, or sub-leasing partner agencies.

7. Intellectual property

7.1. All rights, title and interest in and to Garagii.rent, including its source code, database architecture, user interfaces, branding, logos and algorithms, belong exclusively to Garagii Automotive Solutions L.L.C.

7.2. Tenants are granted a limited, non-exclusive, non-transferable, revocable licence to access the Platform solely for their internal fleet-management operations during an active subscription.

7.3. Data entered by a Tenant remains the Tenant's data. Garagii uses it only to provide the service, as described in the Privacy Policy.

8. Content contributed by Tenants to the network

8.1. Certain Platform features let Tenants contribute information that other Tenants can see: partner search listings, requests and offers, driver listings in the chauffeur directory, and customer flags on the network check (together, "Network Content"). Network Content is created by Tenants, not by Garagii. Garagii does not verify it and does not endorse it.

8.2. Customer flags. A Tenant may record a flag against a customer only where the flag is based on the Tenant's own records, relates to a factual event in a rental with that Tenant (such as an unpaid balance, a late or non-return, damage, or an unrecovered fine), and is limited to the categories the Platform provides. Flags carry no free text. Flags are matched across the network on a one-way cryptographic hash of the customer's Emirates ID or passport number; the number itself is not shared. Other Tenants see only that a flag exists, its category, its date and the number of Tenants that raised one; they do not see documents, contact details or the identity of the Tenant that raised it. Flags expire after twenty-four (24) months, and the Tenant that raised a flag must clear or mark it as settled once the underlying matter is resolved; the Platform provides the means to do so.

8.3. Before recording a flag, the Tenant must have informed the customer, in its rental agreement or terms, that a payment default, non-return or similar event may be recorded on the Garagii network and visible to other rental companies. The Tenant is responsible for obtaining any consent required under UAE Federal Decree-Law No. 45 of 2021 and for handling any request from the customer to correct or remove a flag it raised.

8.4. Chauffeur directory. A Tenant may list a driver only with the driver's explicit, recorded consent and only with a valid UAE driving licence. Listings state factual details and availability. No Tenant may publish opinions, complaints, ratings or negative statements about a driver or any other individual through the Platform.

8.5. Each Tenant warrants that its Network Content is accurate, lawful and not defamatory, and indemnifies Garagii under clause 6 for any claim, loss, police investigation or regulatory fine arising from it, including under UAE Federal Decree-Law No. 34 of 2021 and Federal Decree-Law No. 45 of 2021. Garagii may remove or suspend any Network Content, and any Tenant's access to these features, at its discretion and without notice.

9. Termination

9.1. Garagii may suspend or terminate a Tenant's access immediately and without prior notice in the event of:

• expiry or revocation of the Tenant's UAE commercial licence;
• material breach of these Terms, or failure to settle outstanding subscription invoices;
• suspected fraudulent, unlawful or malicious activity.

9.2. On termination, the Tenant's access to the Platform ceases. Records that must be retained under UAE law are retained for the statutory period, and the Tenant may request an export of its data within 30 days of termination.

10. Governing law and dispute resolution

10.1. These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai.

10.2. Any dispute, controversy or claim arising out of or relating to these Terms, including their validity, breach or termination, is subject to the exclusive jurisdiction of the onshore courts of Dubai.

10.3. These Terms are drawn up in English. Any translation is provided for convenience; the English text prevails.
